Agreement

These Terms of Service ("Terms") are a binding agreement between you and NBuilders, operator of Memori. By using the app or website, you agree to these Terms. If you do not agree, do not use Memori.

Eligibility

You must be at least 13 years old to use Memori (or 16 in the EU where applicable). You represent that you have the legal capacity to enter into this agreement.

Account

Memori uses Google or Apple OAuth for sign-in. You are responsible for maintaining the security of your device and account. Notify us at [email protected] if you suspect unauthorized access.

License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Memori app for personal, non-commercial purposes in accordance with these Terms.

Your content

You retain ownership of content you upload. You grant NBuilders a limited license to host, process, store, and display your content solely to provide the service, including automated and AI-assisted processing described in our Privacy Policy. You represent that you have all rights necessary to upload your content and that it does not violate any law or third-party rights.

Prohibited conduct

You agree not to:

  • Upload illegal, harmful, or infringing content
  • Distribute malware or attempt to disrupt the service
  • Scrape, reverse engineer, or circumvent security measures
  • Harass, abuse, or impersonate others
  • Use Memori for unauthorized commercial purposes

Subscriptions

Memori offers auto-renewing Basic and Pro subscriptions through the Apple App Store or Google Play.

  • Pricing is displayed in the store at purchase time
  • Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period
  • Manage or cancel subscriptions in your Apple or Google account settings
  • Refunds are handled by Apple or Google per their policies
  • Use "Restore purchases" in the app if you reinstall or switch devices

Artificial intelligence

Memori includes AI-assisted features powered by Google Gemini (Google LLC) to draft titles and stories, suggest folders, translate content between Hebrew and English, and remember limited personal context to improve organization.

By using Memori, you understand and agree that:

  1. Third-party AI — Personal data in your memories (text and media) is transmitted to Google Gemini for the features above. We name the provider and obtain your explicit permission before the first transmission (sign-in and capture disclosures).
  2. No training by Memori — We do not use your memory content to train Memori-owned AI models.
  3. Google's terms apply — Google's handling of API data is governed by the Gemini API Additional Terms (including different rules for paid vs unpaid API access and special rules for users in the EEA, UK, and Switzerland).
  4. No guarantee — AI output may be wrong, incomplete, or unsuitable. Memori is provided "as is" as to AI accuracy (see Disclaimer).
  5. Your review — You are responsible for reviewing memories before sharing or publishing. Machine-translated text is labeled in the app.
  6. Not advice — AI output is not professional, medical, legal, or financial advice.
  7. No high-stakes decisions — AI does not make credit, employment, housing, or similar legal decisions about you.
  8. Withdrawal — Delete memories or your account (Settings → Security → Delete account) to stop further AI processing on your data.
  9. Changes — We may change AI models, providers, or features, subject to applicable law and our Privacy Policy.

Third-party services

Apple, Google, and OAuth providers have their own terms and privacy policies. Your use of those services is subject to their terms.

Intellectual property

The Memori name, logo, app design, and related IP belong to NBuilders. These Terms do not grant you any rights to our trademarks or branding.

Disclaimer

MEMORI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE SERVICE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NBUILDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF MEMORI SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO NBUILDERS IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

Indemnification

You agree to indemnify and hold harmless NBuilders from claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of Memori, or your breach of these Terms.

Termination

You may delete your account at any time (Settings → Security → Delete account). We may suspend or terminate access for violations of these Terms or to protect the service.

Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control (natural disasters, war, internet outages, government actions, etc.).

Export compliance

You agree to comply with applicable export control and sanctions laws.

Dispute resolution

Governing law: These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law principles.

Jurisdiction: Disputes shall be brought in the competent courts of Israel, except where mandatory consumer protection law in your country requires a local forum (including EU consumers, who may bring claims in their country of residence).

Class action waiver (US, where enforceable): You agree to resolve disputes individually and not as a class representative or member.

Severability

If any provision is unenforceable, the remaining provisions remain in effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NBuilders regarding Memori.

Assignment

We may assign these Terms in connection with a merger or sale. You may not assign your rights without our consent.

Changes

We may update these Terms. Continued use after changes constitutes acceptance. Material changes will be communicated where practicable.
